Agreement Between User and We Are Louder

The We Are Louder website is composed of a family of websites, web pages, and related services, commonly referred to as the “platform,” operated by We Are Louder.

The We Are Louder platform is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein. Your use of the platform constitutes your agreement to all such terms, conditions, and notices.

Prior to using the platform, you should carefully read these Terms. You agree to abide by and be bound by these Terms, and further agree that We Are Louder is entitled to rely upon and benefit from this agreement. Should you object to any of these Terms, or any subsequent modification thereto, or become dissatisfied with the platform, your sole and exclusive remedy is to discontinue use of the platform.

To the extent permitted by law, these Terms contain a binding arbitration provision and a class action waiver (see “Dispute Resolution; Binding Arbitration; Class Action Waiver” below) that govern how claims between you and We Are Louder are resolved. These Terms also contain limitations of liability and disclaimers regarding risk of loss and damages. The arbitration provision requires individual arbitration of disputes instead of class actions or jury trials, unless you opt out as described below.

We Are Louder reserves the right to update and make changes to these Terms at any time by updating this posting or providing notice to you electronically or as otherwise permitted under applicable law. Updates and changes take effect when posted, unless a different effective date is specified. Your continued access to or use of the platform after any updates or changes indicates your acceptance of these Terms as modified. It is your responsibility to periodically review this page for updates.

Definitions

For purposes of these Terms of Use (these “Terms”), the following definitions apply:

  • “We Are Louder” means We Are Louder, the owner and operator of the platform, including WeAreLouder.io.
  • “Platform” means the We Are Louder websites, web pages, and related services, including WeAreLouder.io.
  • “Content” means the text, images, video, articles, and other materials made available on the platform.
  • “You,” “User,” or “Visitor” means any person or entity that accesses or uses the platform.
  • “Course” means the Human Trafficking Awareness & Prevention Training, which is hosted and delivered on the Mandated Reporter Training platform.
Access to the Training Course

The We Are Louder platform is an awareness and education resource. It provides information about human trafficking and links to the Human Trafficking Awareness & Prevention Training, which is hosted and delivered on the Mandated Reporter Training platform.

Registration for, access to, and use of the Course — including any account you create, any Certificate of Completion you obtain, and any fees associated with a Certificate of Completion — are governed by the Mandated Reporter Training Terms of Use and not by these Terms. Nothing on the We Are Louder platform creates any obligation to purchase anything.

The content on this platform is provided for awareness and educational purposes only. It is not legal, medical, or professional advice, and it is not a substitute for emergency services. If someone is in immediate danger, call 911. To report a suspected trafficking situation, contact the National Human Trafficking Hotline at 1-888-373-7888.

Modification of These Terms

We Are Louder reserves the right to change the terms, conditions, and notices under which the platform is offered at any time and in its sole discretion. When these Terms are changed, We Are Louder will post the revised Terms with an updated “Last Updated” date. Your continued use of the platform after any such change becomes effective constitutes your acceptance of the revised Terms.

No Unlawful or Prohibited Use

As a condition of your use of the We Are Louder platform, you warrant that you will not use the platform for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use the platform in any manner that could damage, disable, overburden, or impair the platform or interfere with any other party’s use and enjoyment of the platform. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the platform.

Platform Users

The We Are Louder platform is intended to be open, accessible, and inclusive, but it also needs to be safe, secure, and in accordance with the law. Because of the adult nature of the subject matter, specific terms apply to minors.

  • The Content on this platform addresses human trafficking, exploitation, and abuse. It is intended for an adult audience and for professionals acting in the course of their work.
  • Users under the age of 18 should review these Terms and our Privacy Statement with a parent or guardian before using the platform.
  • Registration for the Course is subject to the age requirements set out in the Mandated Reporter Training Terms of Use, which require Users to be at least 13 years old and require Users under 18 to obtain the consent of a parent or guardian.

If we become aware that the personal information of a minor has been collected outside of what is described in our Privacy Statement, the information will be deleted in accordance with applicable law.

Materials You Provide to Us

We Are Louder does not claim ownership of the materials you provide to We Are Louder (including feedback and suggestions) or post, upload, input, or submit to the platform or its associated services (collectively “Submissions”). However, by providing a Submission you grant We Are Louder, its affiliated companies, and necessary sublicensees permission to use your Submission in connection with the operation of their businesses, including without limitation the rights to copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate, and reformat your Submission, and to publish your name in connection with your Submission.

No compensation will be paid with respect to the use of your Submission. We Are Louder is under no obligation to post or use any Submission you may provide and may remove any Submission at any time in its sole discretion. By providing a Submission you warrant and represent that you own or otherwise control all of the rights to your Submission, including all rights necessary for you to provide it.

Intellectual Property; Ownership and License

Ownership. We Are Louder owns and retains all right, title, and interest in and to the We Are Louder platform and its Content, including the We Are Louder brand, WeAreLouder.io, all written material, imagery, video, and courseware, together with all intellectual property rights therein. The platform and Content are protected by copyright, trademark, and other intellectual property laws.

License to Users. Subject to your compliance with these Terms, We Are Louder grants you a revocable, non-exclusive, non-transferable, non-sublicensable, limited license to access and view the platform and its Content for personal, internal, and non-commercial awareness and training purposes only. The platform and Content, in whole or in part, may not be used for any commercial purpose, or reproduced, distributed, or sublicensed, without the express prior written consent of We Are Louder.

Reservation of Rights. Any rights not expressly granted in these Terms are reserved to We Are Louder.

Dispute Resolution; Binding Arbitration; Class Action Waiver

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court and to have a jury trial.

Agreement to Arbitrate. You and We Are Louder agree that any dispute, claim, or controversy arising out of or relating to these Terms or to the platform (a “Dispute”) will be resolved by binding individual arbitration, rather than in court, except that (a) you or We Are Louder may bring an individual claim in small claims court, and (b) either party may seek injunctive or other equitable relief in a court of competent jurisdiction for actual or threatened infringement, misappropriation, or violation of intellectual property or confidentiality rights. This agreement to arbitrate is governed by the Federal Arbitration Act.

Mandatory Pre-Arbitration Dispute Resolution. If you have a Dispute subject to this arbitration agreement, you must first contact We Are Louder to try to resolve it. If it cannot be resolved and you wish to pursue arbitration, you must submit a completed Notice of Dispute and negotiate in good faith for sixty (60) days. Notices of Dispute must be sent to the notice address published on this platform.

Arbitration Process and Procedure. If you and we do not reach a resolution within sixty (60) days from receipt of a Notice of Dispute, then you or we may initiate binding arbitration. The arbitration shall: (i) be administered by JAMS pursuant to the JAMS Streamlined Arbitration Rules & Procedures; (ii) be conducted by a single arbitrator; and (iii) take place virtually, in the county where you reside, or in any other location mutually agreed upon. To the extent this arbitration agreement conflicts with the JAMS Minimum Standards for Procedural Fairness, the Minimum Standards shall take precedence.

Class action waiver. You and We Are Louder agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.

Appeal Rights. You and we agree that the JAMS Optional Appeal Procedures will apply in any arbitration in which either you or we receive a final award requiring payment of $250,000 or more.

Delegation and Severability. The arbitrator shall have exclusive authority to resolve all disputes relating in any way to the interpretation, applicability, enforceability, or formation of this arbitration agreement. If the arbitrator determines that you and we are precluded from arbitrating any claim or demand for relief, then that claim or demand for relief (and only that claim or demand for relief) must be severed from the arbitration and may be brought only in the state or federal courts located in Placer County, California, where you and we consent to personal jurisdiction and venue and waive any right to a jury trial.

30-Day Right to Opt Out. You may opt out of this arbitration agreement and class action waiver within thirty (30) days after you first accept these Terms by sending written notice of your decision to opt out to legal@wearelouder.io, including your name and the account associated with your use of the platform. If you opt out, the “Governing Law and Venue” provisions of these Terms will govern any Dispute.

Liability Disclaimer

The information and content included in or available through the We Are Louder platform may include inaccuracies or typographical errors. Changes are periodically added to the information herein. We Are Louder and/or its suppliers may make improvements and/or changes to the platform at any time. Advice received via the platform should not be relied upon for personal, medical, legal, or financial decisions, and you should consult an appropriate professional for specific advice tailored to your situation.

To the maximum extent permitted by applicable law, all information, content, and related graphics on the platform are provided “as is” without warranty or condition of any kind. We Are Louder and/or its suppliers hereby disclaim all warranties and conditions with regard to this information and content, including all implied warranties or conditions of merchantability, fitness for a particular purpose, title, and non-infringement.

To the maximum extent permitted by applicable law, in no event shall We Are Louder and/or its suppliers be liable for any direct, indirect, punitive, incidental, special, or consequential damages or any damages whatsoever including, without limitation, damages for loss of use, data, or profits, arising out of or in any way connected with the use or performance of the platform, whether based on contract, tort, negligence, strict liability, or otherwise, even if We Are Louder or any of its suppliers has been advised of the possibility of damages. Because some states and jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you. If you are dissatisfied with any portion of the platform, or with any of these Terms of Use, your sole and exclusive remedy is to discontinue using the platform.

Termination and Access Restriction

We Are Louder reserves the right, in its sole discretion, to terminate your access to the We Are Louder platform and the related services or any portion thereof at any time, without notice.

Governing Law and Venue

Except for Disputes subject to binding arbitration under the “Dispute Resolution; Binding Arbitration; Class Action Waiver” section above, to the maximum extent permitted by law, this agreement is governed by the laws of the State of California, U.S.A., and you hereby consent to the exclusive jurisdiction and venue of the state and federal courts located in Placer County, California, U.S.A. in all Disputes arising out of or relating to the use of the platform that are not subject to arbitration. Use of the platform is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph.

You agree that no joint venture, partnership, employment, or agency relationship exists between you and We Are Louder as a result of this agreement or use of the platform. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision, and the remainder of the agreement shall continue in effect. Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and We Are Louder with respect to the platform and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written.

Governing Language

It is the express wish of the parties that these Terms of Use be drawn up in English. In the event of any inconsistency, discrepancy, or conflict between the English version of these Terms of Use and their translation in another language, the English version shall prevail.

Notices and Procedure for Making Claims of Copyright Infringement

Pursuant to Title 17, United States Code, Section 512(c)(2), notifications of claimed copyright infringement under United States copyright law should be sent to legal@wearelouder.io. All inquiries not relevant to that procedure will receive no response.
